Purpose:

To oversee matters related to human capital, organisational development, and corporate governance.

Key Responsibilities:

  • Develop and review HR policies, compensation structures, and performance management systems.
  • Provide oversight of recruitment, succession planning, and leadership development.
  • Monitor compliance with ethical standards and governance best practices
  • Evaluate board and committee performance and ensure effective governance structures are in place.
  • Recommend governance policy updates and oversee their implementation.
Audit, Finance and Risk Committee

Purpose:

To provide oversight of the organisation’s financial integrity, audit processes, and risk management framework.

Key Responsibilities:

  • Review and monitor financial reporting and disclosures for accuracy and compliance.
  • Oversee internal and external audit processes, including auditor independence and findings.
  • Evaluate the effectiveness of internal controls and risk management systems.
  • Identify and monitor key business risks and mitigation strategies.
  • Ensure compliance with legal, regulatory, and financial obligations.
  • Prepare financial reporting documentation such as Balance Sheets, Budget Projections; Cash Flow Analysis, and similar documents.
